Article 1. Parties
1. BBX B.V.: the private limited company BBX B.V., registered with the Chamber of Commerce (KvK) under number 94990387, having its registered office at Donk 43 (5768 XM) in Meijel, the user of these general terms and conditions.
2. Further details of BBX B.V.:
Website: www.bbxtreme.com
Email address: info@bbxtreme.nl
Telephone number: +31 77 2340 456
VAT identification number: NL866962505B01
3. The Customer: the (prospective) purchaser of goods offered by BBX B.V.
Article 2. Applicability
1. BBX B.V. declares these general terms and conditions applicable to every offer made by BBX B.V. and to all contracts entered into between the parties, whether or not arising from such an offer. Insofar as their content has not been amended, these general terms and conditions shall also apply to future contractual relationships between the parties.
2. Deviations from these terms and conditions shall apply only insofar as they have been expressly agreed in writing by the parties.
3. Any general (purchasing) terms and conditions of the Customer are expressly rejected.
4. Third parties engaged by BBX B.V. in the performance of the contract may also rely on these general terms and conditions.
5. If one or more (parts) of the provisions of these general terms and conditions are void or are annulled, the remaining provisions of these general terms and conditions shall continue to apply. The parties shall then enter into consultation in order to agree new provisions to replace the void or annulled provisions, reflecting as far as possible the purpose and intent of the void or annulled provisions.
Article 3. Offer and contract
1. Every offer, whether in the form of a quotation or otherwise, is entirely and unconditionally without obligation and revocable, and is valid for 30 days, unless BBX B.V. has indicated otherwise in writing.
2. Every offer applies only while stocks last.
3. Unless stated otherwise, the prices stated in an offer are in euros and exclusive of 21% VAT and shipping costs, and are subject to levies, surcharges and other factors.
4. All statements by BBX B.V. of figures, dimensions, weights and colours of the goods in the designs, drawings, images, photographs or models shown or provided are indications only. A minor deviation from these in the article delivered does not constitute a failure by BBX B.V. to perform the contract.
5. An offer does not automatically apply to repeat orders.
6. Obvious clerical errors and inadvertent mistakes in the offer are not binding on BBX B.V.
7. The contract is concluded as follows:
Order via the webshop: at the moment the Customer has correctly completed the ordering procedure on the website of BBX B.V. and after the confirmation email of the contract sent by BBX B.V. has arrived in the mailbox of the email address provided by the Customer.
Order other than via the webshop: after both parties have signed a written offer, after BBX B.V. has confirmed a written acceptance, or after BBX B.V., or a third party on its behalf, has commenced performance.
8. The contract is expressly entered into subject to the condition precedent of sufficient availability of the products ordered.
Article 4. Performance and delivery
1. The Customer shall enable BBX B.V. to perform the contract. The Customer undertakes to provide the cooperation required for the performance of the contract by BBX B.V.
2. BBX B.V. shall endeavour to perform the contract within the stated/estimated period. This period is not a strict deadline, which means that the Customer must always first give BBX B.V. notice of default, setting an ample and reasonable period, before being able to pursue any remedy. The Customer may not terminate the contract on account of the expiry of this period and is not entitled to compensation. After the expiry of this period, the parties shall make every effort to perform the contract within a reasonable period.
3. If BBX B.V. arranges the delivery, the Customer must provide a delivery address at which BBX B.V. can deliver, or arrange delivery of, the goods on the stated date. If the Customer is not present on the stated date at the moment the goods are delivered, the costs of presenting the goods at a later time shall be borne by the Customer. The Customer shall then receive a notification that the order can be collected at a location indicated by BBX B.V. after payment of the additional costs, which also include the logistical (planning) costs at the storage location due to unexpected additional storage.
4. If delivery takes place at the premises of BBX B.V. and the Customer therefore collects the goods there, the Customer must adhere to the agreed delivery date. If the Customer does not collect the goods on the agreed date, BBX B.V. may recover the reasonable costs of storing the goods from the Customer.
5. BBX B.V. is free to have the assignment and/or delivery carried out by third parties. Article 7:404 of the Dutch Civil Code (BW) is expressly excluded from the contract.
6. Delivery of goods takes place only after the contract has been concluded. The risk of loss or depreciation of the goods to be delivered passes to the Customer from the moment they are made available to the Customer, or would have been made available but for a delay for which the Customer is responsible. This applies regardless of whether the transfer of ownership has already taken place.
7. BBX B.V. is entitled to perform the contract in several phases and to invoice the part thus performed separately. If the contract is performed in phases, BBX B.V. may suspend the performance of those parts belonging to a subsequent phase until the Customer has approved the results of the preceding phase in writing. Upon approval, BBX B.V. can no longer be held liable for defects that could reasonably have been known at the time of approval.
8. Without thereby being in default, BBX B.V. may refuse a request to amend the contract if this could have consequences in qualitative and/or quantitative terms, for example for the goods to be delivered in that context.
Article 5. Obligations of the Customer
1. The Customer shall enable BBX B.V. to perform the contract. The Customer undertakes to provide the cooperation required for the performance of the contract by BBX B.V. This includes, among other things:
a) Being present at the delivery address provided by the Customer on the agreed delivery date;
b) Ensuring that BBX B.V. has timely access to the approvals required for the assignment (such as consents and the like) and to the data to be provided for the assignment;
c) Ensuring that work/deliveries to be carried out by third parties, which do not form part of the assignment of BBX B.V., are carried out in such a manner and so promptly that the performance of the assignment is not delayed as a result.
2. If the obligations in paragraph 1 are not fulfilled (on time), the Customer must inform BBX B.V. of this in good time. BBX B.V. is entitled to charge the Customer for the resulting additional costs, such as storage, travel or labour costs.
3. If the obligations in paragraph 1 are not fulfilled (on time), BBX B.V. is not obliged to compensate the Customer for damage resulting from a delay in delivery/completion.
4. The Customer shall ensure that all data which BBX B.V. indicates is necessary, or which the Customer should reasonably understand to be necessary for the performance of the contract, is provided to BBX B.V. in good time. The Customer bears the risk of and responsibility for the correct and timely delivery of the required information and its content, regardless of how the Customer provides it. If the required data has not been provided to BBX B.V. in good time, BBX B.V. has the right to suspend the performance of the contract and/or to charge the Customer for the additional costs arising from the delay at its usual rates.
5. Prior to performance, the Customer must provide BBX B.V. with the agreed and required items and information, such as address and contact details. BBX B.V. shall assess these to the best of its knowledge. However, BBX B.V. is not liable for damage arising because work has nevertheless been carried out on the basis of incorrect items and information provided by the Customer.
6. The Customer expressly bears the risk of damage caused by:
a) Inaccuracies in the constructions and working methods required by the Customer;
b) Defects in materials or tools made available by the Customer.
7. The Customer warrants that digitally supplied material is safe and does not contain viruses or other harmful content that could in any way damage the computer systems or computer programs of BBX B.V. and/or third parties.
Article 6. Retention of title
1. Ownership of the goods to be delivered, as distinct from the actual transfer of possession, passes to the Customer only after the Customer has paid in full everything the Customer owes or will owe BBX B.V. under the contract in this respect. This therefore includes not only the purchase price, but also, among other things, any further penalties, additional costs or extrajudicial collection costs due.
2. Pursuant to this retention of title, the Customer is therefore not entitled to dispose of the goods or to encumber them with, for example, a right of pledge.
3. In view of the effectiveness of the retention of title, the Customer undertakes to inform BBX B.V. promptly and adequately in the event of impending bankruptcy, suspension of payments, debt restructuring, or when third parties threaten to attach any of the goods delivered subject to retention of title. The Customer is also obliged to adequately insure the goods delivered subject to retention of title against damage and theft.
4. If the Customer is in default of any obligation under the contract, the Customer is obliged, at the request of BBX B.V., to provide all cooperation required to enable BBX B.V. to regain unencumbered possession of the goods delivered. This also includes the possible obligation to return the goods at the Customer's own expense at the request of BBX B.V.
Article 7. Warranty and liability
1. The Customer accepts that all goods are sold with all known, unknown, visible and invisible factual and legal defects, encumbrances and restrictions. No warranties are given other than insofar as the supplier of BBX B.V. provides a warranty or as otherwise expressly agreed.
2. The Customer is obliged to inspect the delivery and performance for conformity with regard to quantity and quality as soon as possible, but within 48 hours. If the performance does not meet the conformity agreed on the basis of the contract, and there is therefore a defect, the Customer must inform BBX B.V. of this within 8 days of delivery.
3. After being informed as referred to in the previous paragraph, BBX B.V. shall, within reason, repair or replace the defect free of charge. If neither of the two remedies described above offers a solution to effectively remedy the defect, the Customer has the right to terminate the contract (in part) with respect to this defect, in which case the Customer bears the costs of returning the goods delivered. The foregoing applies without the Customer being entitled to any compensation.
4. If the defect has arisen from a fault attributable to the Customer, or if the Customer has informed BBX B.V. of the defect too late, the Customer's right to repair, replacement or any termination as described in this article lapses. The burden of proving that the fault is not attributable to the Customer rests with the Customer.
5. The existence of a defect does not suspend the Customer's payment obligation.
6. The Customer is never entitled to any remedy if the article has been used incorrectly or carelessly. The Customer is obliged to use the goods in accordance with the documents intended for that purpose, such as an instruction manual and/or the instructions on the packaging of the goods of BBX B.V. The Customer undertakes to allow the goods to be used only by persons who have been properly instructed in their use. If the foregoing is not observed, or if the Customer adds extras and/or makes modifications of any kind whatsoever, all warranty lapses.
7. The goods of BBX B.V. are in principle intended solely for minors. As a result, the product may not function (properly) and/or may sustain damage when used by an adult. The Customer expressly bears the risk in this respect and indemnifies BBX B.V. against any damage resulting therefrom.
8. If the product is used by a minor, this must at all times take place under the supervision of an adult. The adult expressly agrees to first let the minor become carefully acquainted with the product (at the lowest setting) before proceeding to outdoor use. The responsibility for assessing whether the minor can use the product safely and competently rests at all times with the adult. The Customer indemnifies BBX B.V. against any liability in this respect.
9. When using the product, it is necessary to take measures for physical protection. This includes in any event, but is not limited to, knee and elbow pads and an approved helmet.
10. The Customer is aware of and expressly agrees that the product is not suitable for use on public roads, but solely for use on private land and/or specifically approved locations, such as purpose-built off-road tracks. The Customer expressly bears the responsibility for investigating whether the product (and its use) complies with the requirements of the laws and regulations applicable at that time. The Customer indemnifies BBX B.V. against any liability in the event that the Customer fails to comply with this.
11. BBX B.V. is liable towards the Customer only for direct damage suffered by the Customer and only in the event of intent or gross negligence.
12. Should BBX B.V. be liable towards the Customer, this liability is limited to the amount paid out under the professional/business liability insurance or other liability insurance taken out by BBX B.V., but at most (in the event that there is no insurance under which a claim can be made) to the amount of the invoice from which the damage arose, plus 15%.
13. Except in the event of intent or deliberate recklessness, the liability of BBX B.V. does not extend to consequential damage, indirect damage, non-material damage, damage due to delay, damage to property, reduced goodwill, loss of turnover and/or profit, etc.
14. The Customer indemnifies BBX B.V. against damage suffered by third parties in connection with the contract as a result of BBX B.V. having acted, including having failed to act, on the basis of incorrect, incomplete or late information, data and documents provided by the Customer, or in deviation from these general terms and conditions.
15. In all cases, the period within which BBX B.V. may be held to any remedy, such as compensation for damage, is limited to 12 months after delivery.
Article 8. Prices and payment
1. The offer has been arrived at in proper consultation. By concluding the contract, the parties consider the prices to be reasonable and fair.
2. Unless otherwise agreed, the Customer must pay the amount due in full prior to delivery by BBX B.V. In any event, invoices must be paid by bank transfer within 14 days of receipt of the invoice. BBX B.V. is entitled to send the invoice immediately after the contract has been concluded.
3. If the agreed payment term is exceeded, BBX B.V. is immediately entitled to charge the Customer default interest of 1% of the principal sum per month as well as an amount for extrajudicial collection costs. The latter costs amount to 15% of the principal sum due, with a minimum of EUR 150.00 exclusive of VAT.
4. Without the express written consent of BBX B.V., the Customer is not permitted to apply set-off and/or suspension and/or withholding in respect of its payment obligations.
Article 9. Termination of the contract
1. BBX B.V. has the right to terminate the contract with the Customer with immediate effect for the future by means of written notice, without (further) prior notice of default, if:
a) The Customer ceases its business operations in whole or in part or otherwise liquidates them, and/or substantially changes its business activities or transfers them to a third party without the prior written consent of BBX B.V.;
b) The Customer is granted a (provisional or otherwise) suspension of payments or is declared bankrupt, the Customer files a request for the application of a debt restructuring scheme, or the Customer is placed under guardianship or administration;
c) An attachment is levied on a right belonging to the Customer.
2. In the event of termination of the contract, all payments owed by the Customer to BBX B.V. become immediately due and payable in full. If the work has not been fully completed, the Customer owes a proportionate part of the total amount.
3. In the event of termination of the contract, the Customer shall, at the request of BBX B.V., provide all cooperation required to enable BBX B.V. to regain unencumbered possession of the goods delivered.
4. The Customer has no right of withdrawal if the Customer has declared not to be acting as a consumer, but in the course of a business or profession. In the event that the Customer is nevertheless a consumer, the Customer likewise has no right of withdrawal if the products delivered are custom-made.
Article 10. Force majeure
1. Force majeure is understood to mean, in addition to what is understood in this respect in law and case law, all external causes, foreseen or unforeseen, over which BBX B.V. has no control. This shall also include war, strikes, traffic disruptions, unforeseeable stagnation, disruptions in the supply of energy, transport difficulties, fire, loss or damage in transit, import and/or export restrictions, shortcomings of third parties on which BBX B.V. depends in the performance of the contract with the Customer, epidemics, pandemics and government measures.
2. During force majeure, the obligations of BBX B.V. are suspended. If performance is impossible due to force majeure for longer than one month, or if there are other circumstances that make it disproportionately onerous for BBX B.V. to fulfil its obligations, BBX B.V. is entitled to terminate the contract in whole or in part by means of a notification to the Customer and without judicial intervention, without any obligation to pay compensation in that case.
3. If BBX B.V. has already partially fulfilled its obligations when force majeure occurs, it is entitled to invoice the part already delivered or performed separately, or, in the case of advance payments, to issue a partial credit.
4. In the event of (early) termination of the contract, all payments owed by the Customer to BBX B.V. become immediately due and payable in full.
Article 11. Intellectual property rights
1. BBX B.V. reserves the rights and powers to which it is entitled under the Dutch Copyright Act (Auteurswet) and other intellectual property laws and regulations.
2. The trademarks, images, logos and photographs used and displayed on the website and goods of BBX B.V. are registered or unregistered trademarks of BBX B.V. or of third parties and may not be used commercially without the prior consent of the holder of those trademarks.
Article 12. Jurisdiction, choice of law and assignment of rights
1. BBX B.V. is entitled to assign its rights and obligations under this contract to a third party. The Customer is entitled to assign its rights and obligations to a third party only with the written consent of BBX B.V.
2. This contract, and any other contracts concluded between the parties, are governed exclusively by Dutch law, with the express exclusion of the Vienna Sales Convention (CISG). Should an obligation arise between the parties in the future other than one arising from a contract, Dutch law shall also apply to that obligation.
3. In the event that a dispute arises from the contract between the parties, the court with exclusive jurisdiction is the court of the district in which the registered office of BBX B.V. is located. In the event that a dispute arises between the parties concerning non-contractual obligations, the court with exclusive jurisdiction is likewise the court of the district in which the registered office of BBX B.V. is located.
Article 13. Right of withdrawal
1. This article applies only if the Customer is a natural person acting for purposes outside their trade, business or profession, and the contract for the purchase of the product was concluded not in the physical shop but at a distance, for example via the webshop.
2. In principle, the Customer has the right to withdraw from the contract within a period of 14 days without giving reasons. However, the Customer has no right of withdrawal in the case of the supply of goods made to the Customer's specifications, which are not prefabricated and which are made on the basis of an individual choice or decision by the Customer, or which are clearly intended for a specific person.
3. The withdrawal period expires 14 days after the day on which the Customer, or a third party designated by the Customer other than the carrier, acquires physical possession of the product or, for contracts under which the Customer has ordered several goods in the same order which are delivered separately, the day on which the Customer, or a third party designated by the Customer other than the carrier, acquires physical possession of the last product.
4. To exercise the right of withdrawal, the Customer must inform BBX B.V. of the decision to withdraw from the contract by means of an unequivocal statement (e.g. in writing by post, fax or email). The Customer may use the model withdrawal form set out in paragraph 7 of this article for this purpose, but is not obliged to do so.
5. To meet the withdrawal deadline, it is sufficient for the Customer to send the communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.
6. If the Customer withdraws from the contract, the Customer shall receive from BBX B.V. a refund of all payments the Customer has made up to that point, including delivery costs (with the exception of any additional costs resulting from the Customer's choice of a method of delivery other than the (cheapest) standard delivery offered by BBX B.V.), without undue delay and in any event no later than 14 days after BBX B.V. has been informed of the decision to withdraw from the contract. BBX B.V. shall refund the Customer using the same means of payment as the Customer used for the original transaction, unless the Customer has expressly agreed otherwise; in any event, the Customer shall not be charged any fees for such a refund. BBX B.V. is entitled to withhold the refund until it has received the goods back, or until the Customer has demonstrated that the Customer has returned the goods, whichever is the earlier. The Customer must return or hand over the goods to BBX B.V. without undue delay and in any event no later than 14 days after the day on which the Customer communicated the decision to withdraw from the contract to BBX B.V. The Customer is on time if the Customer sends back the goods before the period of 14 days has expired. The direct costs of returning the goods shall be borne by the Customer. The Customer is only liable for any diminished value of the goods resulting from handling of the goods beyond what is necessary to establish the nature, characteristics and functioning of the goods.
7. Model withdrawal form; to facilitate withdrawal for the Customer, BBX B.V. makes the form set out below available to the Customer. The Customer may use this form to withdraw from the contract.
